There have been many issues during the pandemic on the difficulty, inability or impossibility to fulfil a contract. The legal issues on performance have been many and our role is to consider whether a contract has been frustrated or whether a relevant force majeure clause is triggered.

For shareholders it may be they have concerns as to how they are being treated and possibly marginalised, or they may be concerned or unhappy in the way the Directors may be directing the Company.
For Directors it may be they have concerns about fellow Directors, or there is a lack of consensus on the way to move forward the Company objectives which can cause a deadlock and hinder the day to day running of the Company.
During the pandemic many companies have sought to invoke their Insurance policy for business interruption insurance (BII). Whilst come Insurers have dealt with matters with their client, many have disputed the client’s entitlement to a payment. We act for a number of clients on BII, as well as other general insurance claims.

We consider mediation and ADR at an early stage and assess at what stage, or indeed if, the case will benefit from an alternative resolution process.
